Corporate Finance Manager

Job Summary

To support the Head, Corporate Finance in executing the company’s capital-raising strategy across debt and equity markets and overall balance sheet optimization initiatives to achieve the goal of providing sustainable value to shareholders.

Key Responsibilities Areas (KRAs) and Initiatives

Capital Raising & Transaction Execution

  • Support the structuring and execution of capital raises through equity, debt, and hybrid instruments.
  • Assist in rights issues, private placements, project finance, reserve-based lending (RBL), and other capital market transactions.
  • Prepare financial models, valuation analyses, and funding structures for upstream assets and projects.
  • Coordinate due diligence processes and manage transaction timelines.Liaise with investment banks, lenders, legal advisers, financial advisers, and regulators.

Financial Analysis & Modelling

  • Develop and maintain integrated financial models for upstream operations and joint ventures. This will also include other businesses in the Group, including trading and mining.
  • Conduct project economics, cash flow forecasting, and scenario/sensitivity analysis.
  • Evaluate financing options and assess impact on capital structure and shareholder value.
  • Support preparation of investment memoranda presentations and credit papers.
  • Develop financial models to support drilling campaigns, field development plans, and work programmes.
  • Evaluate project economics including production profiles, lifting costs, capex plans, and sensitivity analysis.
  • Conduct valuation analysis (DCF, NAV, transaction comparables).
  • Perform capital structure analysis, refinancing assessments, and covenant monitoring.

Investor & Stakeholder Engagement

  • Assist with investor presentations, information memoranda, and offering documents.
  • Support engagement with institutional investors, DFIs, and commercial lenders.
  • Help manage data rooms and respond to investor and lender queries.

Strategic & Corporate Finance Support

  • Support M&A analysis, farm-in/farm-out transactions, and asset acquisitions/divestments.
  • Contribute to corporate strategy, capital allocation, and funding planning.
  • Monitor market conditions, financing trends, and competitor transactions.

Governance & Compliance

  • Ensure compliance with regulatory requirements (e.g., SEC, stock exchange, lenders).
  • Support preparation of board and management approval materials.
  • Maintain transaction documentation and internal approvals

Qualifications and Experience Requirements

Minimum Qualification

  • Bachelor’s degree in Finance, Accounting, Economics, Engineering, or related field.

Required Professional Certifications / Accreditations / Registrations

  • Professional certifications in finance such ACA, ACCA, CFA, is mandatory. MBA is an added advantage.

Minimum Years of Experience and Relevant Areas

  • 7–10 years’ experience in corporate finance, investment banking, private equity, or upstream oil & gas finance.

Any Additional Qualifications / Certifications or Experience (Desirable but not essential)

  • MBA or Master’s degree in Finance, Economics, or related discipline
